01Acceptance of these terms

By using zirvato.com or by hiring Zirvato (“we”, “us”), you agree to these terms. If you are agreeing on behalf of a business, you confirm that you have the authority to do so. If you do not agree, please do not use our website or services.

If you sign a separate written agreement or proposal with us, that document applies together with these terms. If the two conflict, the signed agreement prevails.

02Our services

Zirvato provides web development, SEO, local SEO, digital marketing, Google Ads management, video editing, graphic design and AI automation. The exact scope, deliverables, timeline and price of each project are set out in a written proposal or agreement.

03Using our website

You agree to use our website lawfully and not to:

• Attempt to gain unauthorised access to the site, its servers or other users' data.
• Introduce viruses or other harmful code.
• Copy or scrape our content for commercial use without permission.
• Use the contact form to send spam or unlawful material.

04Quotes and scope

Quotes are valid for 14 days unless stated otherwise. Work begins once you have approved the proposal and any advance payment is received. Anything outside the agreed scope, including new features or extra pages, is a change request and may be quoted separately.

05Fees and payment

• Projects usually start after an agreed advance payment. The payment schedule is listed in your proposal.
• Invoices are due by the date shown. We may pause work until overdue invoices are settled.
• Fees do not include taxes, third-party software, domains, hosting or licences unless stated in the proposal.
• Advertising spend paid to platforms such as Google or Meta is separate from our management fees and is paid by you directly.
• Fees already paid for work completed are non-refundable, except where we agree otherwise in writing.

06Client responsibilities

You agree to provide accurate information, content, access and feedback on time, and to nominate one point of contact who can approve work. Delays on your side may move delivery dates. You confirm that you own, or have permission to use, all materials you give us, and that they do not infringe anyone else's rights.

07Timelines, revisions and approvals

Delivery dates in a proposal are estimates that depend on timely feedback and content. Each project includes the number of revision rounds listed in the proposal. If we do not receive feedback for 14 days, we may treat the milestone as approved or pause the project until we hear from you.

08Intellectual property

Once you have paid in full, you own the final deliverables created specifically for you, such as your website design, logo and edited videos. Until payment is complete, ownership remains with us.

We keep ownership of our pre-existing tools, code libraries, templates and know-how, and grant you a licence to use them as part of your deliverables. Third-party assets such as fonts, stock media and plugins remain subject to their own licences.

Unless you ask us not to, we may show non-confidential work in our portfolio and case studies.

09Third-party platforms and tools

Our work may rely on third-party platforms such as Google, Meta, WordPress, hosting providers and automation tools. We do not control these services and are not responsible for changes, outages, policy updates or account suspensions made by them.

10No guarantee of results

SEO, advertising and marketing results depend on search engine and platform algorithms, competition, market conditions and your budget. We do not guarantee specific rankings, traffic, leads or sales. We do commit to doing the agreed work to a professional standard and to reporting honestly on progress.

11Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the purposes of the project. This does not apply to information that is public, already known, or required by law to be disclosed.

12Warranties and disclaimers

We will perform the services with reasonable skill and care. Except as stated in these terms, our website and services are provided “as is” and “as available”, and we disclaim all other warranties to the fullest extent permitted by law.

13Limitation of liability

To the fullest extent permitted by law, Zirvato is not liable for indirect, incidental or consequential losses, including lost profits, revenue, data or business opportunities. Our total liability for any claim relating to a service is limited to the fees you paid us for that service in the three months before the claim arose.

14Indemnity

You agree to protect Zirvato from claims arising from material you provide, from your misuse of the deliverables or from your breach of these terms, except where the claim is caused by our own negligence.

15Cancellation and termination

• Either party may end a project with written notice. You will pay for work completed and costs committed up to the termination date.
• Ongoing monthly services, such as SEO and ad management, can be cancelled with 30 days' written notice.
• We may suspend or end services if payments remain overdue or if these terms are seriously breached.

16Governing law and disputes

These terms are governed by the laws of Pakistan. We encourage you to raise any concern with us first so we can resolve it through good-faith discussion. If that is not possible, disputes will be handled by the competent courts of Pakistan.

17Changes to these terms

We may update these terms from time to time. The “Last updated” date shows the latest version. Continued use of our website or services after an update means you accept the revised terms. Changes do not affect a signed agreement for a project already in progress.
